Terms of Service

1. Acceptance of Terms

By accessing or using motivate.vip ("the Service"), operated by Big Rock Candy Mountain LLC, DBA Dream Better ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users of the Service, including Customers and Creators.

2. Description of Service

motivate.vip is an online marketplace platform that connects users ("Customers") with experts ("Creators") for paid 1-on-1 video consultations. We provide the booking system, payment processing infrastructure (via Stripe), video call technology (via Daily.co), and related tools. We are not a party to the actual consultation services provided by Creators. Creators are independent contractors and not employees, agents, or representatives of Dream Better.

3. Eligibility

The Service is available to users worldwide. By using the Service, you represent that you have the legal capacity to enter into a binding agreement in your jurisdiction. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

You must create an account to use certain features of the Service. You are responsible for: providing accurate and complete information during registration; maintaining the confidentiality of your account credentials; all activities that occur under your account; notifying us immediately at support@motivate.vip of any unauthorized use or security breach. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Payments and Fees

For Customers: You agree to pay the listed session price plus a $5.00 platform fee per booking. All payments are processed securely through Stripe. Your payment is collected at the time of booking but held securely until the session is completed. The Creator is only paid after a successful call. For Creators: You will receive the session price minus a 12% platform commission and Stripe processing fees (approximately 2.9% + $0.30 per transaction). Payouts are initiated automatically after each completed call and transferred to your Stripe Connect account. All prices are displayed in US dollars (USD). You are responsible for any taxes applicable to payments you receive or make through the Service.

6. Booking, Cancellation, and Refunds

Customer Cancellations: Cancellations made 24 or more hours before the session receive a full refund. Cancellations made less than 24 hours before the session are not eligible for a refund. Creator Cancellations: If a Creator cancels a booking, the Customer receives an automatic full refund. Creator No-Shows: If a Creator does not join the scheduled call, the Customer receives an automatic full refund. Customer No-Shows: If a Customer does not join the call, no refund is issued and the Creator receives their payout. Reschedule Declines: If a Creator proposes new times and the Customer declines all of them, the Customer receives an automatic full refund regardless of the 24-hour window. Creator-Initiated Refunds: Creators may issue voluntary full refunds within 24 hours of a completed session. Administrator Refunds: An administrator may issue a refund of any amount up to the booking price in exceptional circumstances (for example, fraud or an unresolved dispute). Disputes: Customers may raise concerns about a session by contacting support. Rescheduling is permitted up to 24 hours before the session, subject to the Creator's availability. We reserve the right to cancel any booking and issue a refund if we suspect fraud or a violation of these Terms. For full details, see our Cancellation & Refund Policy page.

7. Creator Responsibilities

By applying as a Creator, you agree to: provide accurate information about your qualifications, experience, and expertise; attend all confirmed sessions on time and prepared; deliver professional, respectful, and lawful service during all sessions; not solicit Customers to transact outside the platform; not share Customer contact information outside the platform; comply with all applicable laws and regulations in your jurisdiction. We reserve the right to suspend or remove Creators who violate these responsibilities or receive consistent negative feedback.

8. Prohibited Conduct

You agree not to: use the Service for any illegal purpose or in violation of any applicable law; harass, abuse, threaten, or intimidate other users; impersonate any person or entity or misrepresent your affiliation; attempt to circumvent platform fees or payment processing; share sexually explicit, violent, or otherwise inappropriate content during sessions; upload malicious code, viruses, or harmful content; use automated scripts or bots to access the Service; infringe upon the intellectual property rights of others; attempt to reverse engineer, decompile, or extract source code from the Service.

9. Intellectual Property

The Service, including its design, code, branding, and content, is owned by Big Rock Candy Mountain LLC and protected by intellectual property laws. You retain ownership of any content you submit to the platform (profile information, session content). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display and distribute that content as necessary to operate the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee the quality, accuracy, completeness, or outcomes of any consultation or advice provided by Creators. Creators are independent contractors and not employees of Dream Better. We do not endorse, certify, or verify the qualifications of any Creator.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIG ROCK CANDY MOUNTAIN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: loss of profits, data, or business opportunities; reliance on advice or information obtained through the Service; interruption of service or system failures; actions or omissions of Creators or Customers. Our total aggregate liability shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Big Rock Candy Mountain LLC, DBA Dream Better, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; any content you submit through the Service.

13. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation by contacting us at legal@motivate.vip. If a dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Kalamazoo, Michigan. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

15. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
